Arkoda AI LLC Terms of Service

By creating an account or using Arkoda, you agree to these Terms of Service.

Arkoda OS is an AI-powered business operating system that provides automated business planning, compliance monitoring, grant research, and operational tools.

You must provide accurate and complete information when creating an account.

You are responsible for maintaining the security of your account and for all activity that occurs under it.

One account is permitted per person unless we explicitly approve otherwise.

Arkoda offers the following plans: Dreamer ($0), Founder ($67/mo or $670/yr), Operator ($97/mo or $970/yr), Command ($197/mo or $1970/yr), Sovereign ($397/mo or $3970/yr), Empire ($697/mo or $6970/yr), Apex ($1,497/mo or $14,970/yr), and Zenith Capstone (invite-only, billed at 2.5% of gross revenue capped at $10,000/mo plus compute at wholesale cost, itemized before charge).

Prices may change with at least 30 days notice.

Payments are processed by Stripe.

Subscriptions may be billed monthly or annually. Annual plans are charged as a single payment at a discounted rate.

You may cancel at any time, and access will continue through the current billing period.

No refunds are provided for partial billing periods.

For annual plans, no refunds are available after the 14-day grace period.

All AI-generated content is provided for informational purposes only.

Arkoda AI LLC does not provide legal, financial, tax, or professional advice.

You should consult licensed professionals before making business decisions, and AI recommendations may contain errors or inaccuracies.

Automated task execution services, including LLC filing, trademark applications, and grant submissions, create draft documents for your review.

Arkoda is not responsible for filing errors, and you must verify all information before submission.

The Arkoda Bridge is an optional desktop component that enables Jon to perform actions on your local computer, including creating files, opening apps, and running commands.

The bridge only acts when you explicitly click “Allow” on a permission popup. Jon cannot take any action on your local computer without your real-time approval.

You can uninstall the bridge at any time through Windows Add or Remove Programs.

Arkoda AI LLC's liability for any bridge-initiated action is capped at the amount you paid in the 30 days preceding the claim.

The bridge does not transmit file contents outside your session.

To the maximum extent permitted by law, Arkoda AI LLC's liability is limited to the amount you paid in the 12 months preceding any claim.

We are not liable for indirect, incidental, special, or consequential damages.

Arkoda targets 99.5% uptime for the Service but does not guarantee uninterrupted, error-free, or continuously available service.

Arkoda employs self-healing systems that automatically detect and repair most infrastructure issues. Planned maintenance windows will be communicated in advance when possible.

Service interruptions do not entitle users to refunds unless downtime exceeds 72 consecutive hours, in which case affected paid users will receive a pro-rata credit for the downtime period.

Arkoda is not responsible for interruptions caused by your internet connection, your device, third-party services, force majeure events, or factors outside Arkoda's reasonable control.

You retain ownership of your business data.

Arkoda retains ownership of all platform technology, AI models, and workflows.

You grant Arkoda a license to process your data solely as needed to deliver the service.

You may not use the platform for illegal activities, automated scraping, sharing account credentials, reverse engineering, or harming others.

Your use of the platform is also governed by our Privacy Policy at arkoda.app/Privacy.

By connecting financial accounts via Plaid, you authorize Arkoda and Plaid to retrieve account data on a read-only basis. You may revoke this access at any time through your account settings.

When you use DIFM (Done-It-For-Me) features, you expressly authorize Arkoda Ai LLC to act as your agent for the specific tasks you initiate (such as form filing, registration submissions, or third-party signups). This authority is limited to the scope of each task. You retain ownership and decision authority. Arkoda will not perform actions outside the explicit scope of a task you initiated. You may revoke any authorization before the task is completed by canceling within your DIFM dashboard.

You agree to indemnify and hold Arkoda AI LLC harmless against claims, damages, liabilities, and expenses arising from your use of the platform or your violation of these terms.

Disputes will be resolved by binding arbitration under Texas law.

You agree to a class action waiver.

Claims under $10,000 may be brought in small claims court where permitted.

These Terms are governed by the laws of the State of Texas, United States.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Arkoda's VC Portal facilitates introductions between founders and investors. Arkoda is not a registered broker-dealer, investment adviser, or funding portal. No information on this platform constitutes investment advice. All investment decisions are made independently by the parties involved. Arkoda charges a 1% success fee on closed deals facilitated through the platform. Past introductions do not guarantee future funding outcomes.

Zenith Capstone is an invite-only program. Participants are billed 2.5% of gross revenue, capped at $10,000 per month, plus compute at wholesale cost. Compute is itemized before any charge, and the specific terms are governed by the individual Zenith agreement provided at invitation.

Revenue-share payments are business income to Arkoda and a business expense to you. You are solely responsible for your own tax treatment, reporting, and any filings (including any 1099 or equivalent forms) arising from your participation. Arkoda does not provide tax advice; consult a licensed tax professional. The specific revenue-share percentage, payment terms, and duration are governed by your individual Zenith agreement, which controls in the event of any conflict with this summary.

The influencer commission program is coming soon and is not currently active. No live commission tracking, bonus pool, or payout processing is available in the app today.

Any future influencer program terms, rates, thresholds, and disclosure requirements will be published before launch.

FTC disclosure is mandatory. Any participant who promotes Arkoda in exchange for commission, payment, free or discounted access, or other consideration must clearly and conspicuously disclose that material connection in every endorsement, consistent with the FTC Endorsement Guides (16 CFR Part 255). Disclosures must be unambiguous (for example, "#ad", "paid partnership", or "I earn a commission"), placed where the audience sees them before engaging with the endorsement, and never hidden, buried, or gated behind a "more" link. Endorsements must reflect honest, current opinions and genuine experience; claims that Arkoda replaces a licensed professional, and any earnings or results claim that is not typical and substantiated, are prohibited. Non-compliance may result in removal from the program and forfeiture of unpaid commissions.

No claims that Arkoda replaces licensed professionals. Participants may not state or imply that Arkoda replaces, or is a substitute for, a licensed attorney, accountant or CPA, financial or investment adviser, or any other licensed professional. Arkoda assists; it does not provide legal, tax, accounting, investment, or medical advice.

Promotional content rules (FTC). Participants may not: (1) promise or imply that anyone will earn income, profits, or specific results by using or promoting Arkoda; (2) create false scarcity or urgency (for example, invented deadlines, fake "limited spots", or countdowns that are not real); (3) use misleading before-and-after comparisons, testimonials, or results that are not typical or not substantiated; or (4) make any claim about Arkoda that is false, misleading, or not supported by evidence. Violations may result in removal from the program and forfeiture of unpaid commissions.

Arkoda's affiliate and partner program is coming soon and is not currently active. The app does not currently provide live affiliate tracking, commission accrual, or payout processing.

Where Arkoda staff or first-party content recommends a third-party tool or service, we will disclose any affiliate relationship at the point of recommendation.

The same FTC disclosure and no-replacement-of-licensed-professionals rules in the Influencer Commission Program section apply to every affiliate and partner.

You may request deletion of your account and associated data by contacting info@arkoda.app. Upon verified request, we will delete your personal data within 30 days, except where retention is required by law (tax records, transaction history). Deletion is permanent and cannot be undone.

We may modify these Terms from time to time with 30 days notice provided by email.
